NOTICE IS GIVEN that on 19 May 2026 the High Court in Liverpool made an Order in claim number CR-2025-LIV-000301 (the "Order").
- Barbara Woodcock is to convene a meeting of the Company for the purposes of: the transfer by Barbara Woodcock of 6 shares to each of Teresa Hurst and Betty Lowe; the appointment and/or confirmation of Teresa Hurst, Betty Lowe and Barbara Woodcock as directors; and considering such other preparatory steps as may be required in relation to the future affairs of the Company.
- The Court has expressly recorded that it does not positively sanction or authorise the purposes or steps referred to above.
- The meeting shall not take place until after the expiry of the period referred to below.
- Notice of such meeting (and any further meeting required) shall be validly given: by post to Teresa Hurst, Betty Lowe, Barbara Woodcock, Gratton Williams, and the St Helens Conservative Federation (and any trustees thereof); and by advertisement in the London Gazette and the St Helens Star, giving not less than 14 days’ notice.
- Any person who wishes to apply to the Court to set aside or vary the Order must do so within three months of the latest of the advertisements referred to above.
