What is happening?

Notice of Dissolution - Franklin Sixth Form College

NOTICE is hereby given that the Governing Body of Franklin Sixth Form College intends to make a resolution on 2 September 2025 dissolving Franklin College Corporation (the Corporation) on 1 November 2025 pursuant to its proposed conversion to a Multi-Academy Trust, and transfer of its property, rights and liabilities to a Multi-Academy Trust (a company limited by guarantee to be established and known as Franklin College Trust (Franklin College Trust). The draft of the resolution is as follows: Following: 

- publication by the Corporation of the details of the proposal and the other information required under the Further Education College Corporations (Publication of Proposals) (England) Regulations 2012 (the Regulations) and consulting on the proposal and taking account of the views of those consulted in accordance with the Regulations (the Statutory Consultation); 

- publication of the summary of the results of the Statutory Consultation in accordance with the Regulations; - publication of the draft resolutions of the Corporation to dissolve and provide for the transfer of its property, rights and liabilities to Franklin College Trust in accordance with the Corporation’s Instrument and Articles of Government and sections 33N, 33M, 33O and 33P of the Further and Higher Education Act 1992; 

- the carrying out of legal and financial due diligence exercises in respect of Franklin College Trust, Franklin College Corporation hereby RESOLVES to transfer its property, rights and liabilities to Franklin College Trust (a multi academy trust and charitable company limited by guarantee) in accordance with section 33P of the Further and Higher Education Act 1992, with Franklin College Corporation dissolving at 00:01 on 1 November 2025 and its property, ights and liabilities transferring immediately before that time to Franklin College Trust in accordance with 33P of the Further and Higher Education Act 1992.
