NOTICE IS HEREBY GIVEN that on 10 March 2026, a certified copy of an order of the Court of Session, Edinburgh, Scotland dated 6 March 2026 (the “Order”) sanctioning a Scheme of Arrangement (the “Scheme”) under Part 26 of the Companies Act 2006 and between John Wood Group PLC, a public limited company incorporated under the Companies Acts (company number SC036219) and with its registered office address at Sir Ian Wood House, Hareness Road, Altens Industrial Estate, Aberdeen, Scotland, AB12 3LE (the “Company”) and the Scheme Shareholders (as defined in the Scheme) was delivered to, and registered by, the Registrar of Companies for Scotland, together with a certified copy of the Scheme. On delivery of the Order, the Scheme became effective in accordance with its terms.
