Petition for confirmation of the
cancellation of share premium account
NOTICE IS HEREBY GIVEN THAT, on 21 December
2022, a petition (the “Petition”) was presented to the Court
of Session, Edinburgh, Scotland (the “Court”) by Capricorn
Energy PLC, a public company incorporated under the
Companies Acts with registered number SC226712 and
with its registered office at 50 Lothian Road, Edinburgh
EH3 9BY (the “Company”), seeking an order for confirm-
ation of the cancellation of its entire share premium account
(the “Cancellation”). The Cancellation was resolved upon
by special resolution passed at a general meeting of the
Company held on 15 December 2022. On 22 December
2022, the Court ordered: (i) that the Petition be advertised
once in each of The Edinburgh Gazette, The Scotsman, and
the Financial Times (UK and International editions) news-
papers; and (ii) that any party claiming an interest in the
Petition lodge written Answers to it within 21 days of the
last of those advertisements. Any such person may wish to
seek independent legal advice. In accordance with its
practice, the Court is also likely to consider any other
objections which are made to it, in writing or in person, at
the hearing of the Petition to confirm the Cancellation. That
hearing is expected to take place at the Court on a date to
be confirmed but which is expected to be during the week
commencing 23 January 2023. The date of that hearing,
when known, will be advertised on the Company’s website
at https://www.capricornenergy.com/investors.
